1. Agreement & Scope
These Terms of Service ("Terms") govern your access to and use of the Services provided by NextCase LLC. By using the Services, you agree to these Terms and to our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.
2. Accounts & Organization Administration
- You must provide accurate information and keep credentials secure.
- Organization owners/admins control workspace settings and may access, restrict, or remove accounts and content within their workspace.
- You are responsible for actions under your account.
3. License & Acceptable Use
Subject to these Terms, we grant you a limited, non‑exclusive, non‑transferable license to use the Services for your business purposes. You will not (and will not permit others to) do any of the following:
- Reverse engineer, decompile, or attempt to access source code (except to the extent such restriction is prohibited by law).
- Bypass or interfere with security or access controls, or use the Services to harm, disrupt, or overload networks.
- Upload unlawful content or content infringing others’ rights.
- Use the Services for high‑risk activities where failure could lead to death or personal injury.
4. Customer Data & IP Ownership
- You own Customer Data. You grant us a license to host, process, transmit, display, and back up Customer Data as necessary to provide the Services and related support.
- We own the Services, including software, interfaces, models, and documentation. No rights are granted except as expressly stated.

Feedback. If you or any of your employees, agents, contractors, representatives, or end users (including your own customers) provides, submits, or communicates to us any suggestion, enhancement request, recommendation, correction, concept, idea, invention, improvement, or other feedback relating to the Software or to any current or future product or service of ours (collectively, “Feedback”), the following shall apply:
- Exclusive Ownership. All Feedback shall be deemed non-confidential and shall automatically and irrevocably become the sole and exclusive property of NextCase upon submission—regardless of whether such Feedback is marked confidential or provided orally, electronically, or in writing. We shall own all worldwide right, title, and interest in and to the Feedback, including all associated intellectual property rights, without any obligation to compensate, credit, or acknowledge you or any contributor.
- Irrevocable License and Assignment. To the extent any Feedback is not automatically vested in us by operation of law, you hereby: (i) irrevocably assign and agree to assign to us all rights, title, and interest in and to such Feedback, including all intellectual property rights therein; and (ii) grant us a perpetual, worldwide, royalty-free, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, perform, display, distribute, license, commercialize, or otherwise exercise all rights in the Feedback in any manner and for any purpose, whether commercial or non-commercial.
- Waiver of Claims and Moral Rights. You and all individuals providing Feedback on your behalf hereby waive any and all claims relating to the Feedback, including but not limited to claims for compensation, royalties, licensing fees, attribution, authorship, or moral rights (including rights of integrity, disclosure, or withdrawal to the extent permitted by law).
- No Obligation to Use. We are under no obligation to review, use, implement, or return any Feedback. We may freely decide whether or not to incorporate Feedback into our Software or services.
- Warranty of Non-Infringement. You represent and warrant that any Feedback you or your personnel provide is original, does not misappropriate or infringe any third party’s intellectual property rights, and that you have full authority to make such disclosure and assignment.
5. AI‑Assisted Features
- Some features are AI‑assisted. Outputs may be inaccurate, incomplete, or reflect biases; you are responsible for verifying results.
- Unless you or your organization opt in, Customer Data is not used to train third‑party models. We may use third‑party AI processors to provide features under data‑processing terms.
- No legal advice. NextCase is not a law firm and does not provide legal services.
6. Plans, Fees, and Trials
Fees (if applicable) are charged in advance per the plan selected. Trials or preview access may be free and can be changed or discontinued at any time. All fees are non‑refundable except where required by law or stated otherwise in an order form.
7. Confidentiality
Each party may access the other party’s confidential information. The receiving party will use such information only as necessary to perform under these Terms and protect it using reasonable measures. This section does not limit disclosures required by law.
8. Third‑Party Services
Integrations and linked services are provided by third parties under their own terms and privacy policies. We are not responsible for third‑party services.
9. Warranties & Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL NEXTCASE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICES IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR $100 IF NO FEES WERE PAID).
11. Indemnification
You will indemnify and hold harmless NextCase from and against claims arising out of your use of the Services or violation of these Terms.
12. Termination
We may suspend or terminate access for violations of these Terms, legal risk, non‑payment, or to protect the Services. Upon termination, we may delete your account and content after a reasonable period or where required by law. We may provide export tools for Customer Data where feasible.
13. Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of New Jersey, without regard to conflict of laws rules. The parties consent to exclusive jurisdiction and venue in state and federal courts located in New Jersey.
EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT.
14. Changes to the Services or Terms
We may modify the Services and these Terms. If changes are material, we will provide reasonable notice. Continued use after changes become effective constitutes acceptance.
